Terms of Sale and Quotation
Last updated: 12 October 2026
1. Who these terms are between
1.1 These terms apply to every Quote and every Order for goods supplied by Aravali Exports, a sole proprietorship owned by Satish Chand Yadav, of Jaipur, Rajasthan, India (full postal address in our Privacy Notice and on your Quote), GSTIN 08AAEPY0619F1ZO, IEC 1303010003 ("Aravali Exports", "we", "us"), to a business buyer ("you").
1.2 We sell only to businesses buying for trade, construction or resale, not to consumers. By asking for a Quote or placing an Order you confirm you are acting for a business.
1.3 Words used in these terms:
- Quote: our written price offer, sent by email or as a document.
- Proforma Invoice: the document we issue for an Order, setting out the goods, price, currency, Incoterm, port, payment terms and shipment period.
- Order: the contract formed under clause 2.3.
- Signed Contract: a separate sales contract signed by both of us.
1.4 If documents conflict, this order applies: a Signed Contract, then the Proforma Invoice, then these terms, then the Quote. Your own purchase terms do not apply, even if you send them with an order or a payment, unless we agree to them in writing.
2. Quotes and Orders
2.1 A request through our website, by email or by phone is an enquiry. It does not bind you or us.
2.2 A Quote is valid for the period it states, or 15 days if it states none, and is subject to the stone being available when you accept. We aim to send a Quote within 24 hours of a complete request.
2.3 An Order is formed only when we issue a Proforma Invoice or Signed Contract and you accept it in writing. Acceptance can be a signature, an email confirming acceptance, or a payment that refers to the Proforma Invoice. Electronic acceptance is valid under section 10A of India's Information Technology Act, 2000.
2.4 Prices are in the currency stated and on the Incoterm stated. They exclude taxes, duties and charges in your country and bank charges outside India.
3. Cancelling an Order
3.1 Before you accept a Proforma Invoice or Signed Contract, either of us can walk away at no cost.
3.2 After you accept, you may still cancel the Order by written notice until we tell you in writing that we have bought or reserved the stone for it. We send that notice, with its date, as soon as we buy or reserve the stone. If you cancel before it, we refund any deposit, less bank charges and any costs we have already paid for your Order at your request (for example samples, couriers or tests). We show you receipts for those costs on request.
3.3 Once we have bought or reserved the stone for your Order, the Order cannot be cancelled. If you then refuse to go ahead, we may keep the deposit, offer the stone to other buyers, and recover from you the reasonable loss we suffer beyond the deposit (for example a lower resale price and costs already incurred), less anything we save. We will act reasonably to keep that loss as low as we can.
3.4 Cancellation because of events beyond either side's control is covered by clause 14.
4. Delivery: FOB only
4.1 We sell FOB (Free On Board), Incoterms® 2020, at a named Indian port: Mundra or Chennai, as stated in the Proforma Invoice. Incoterms 2020 apply except where these terms or the Proforma Invoice say otherwise.
4.2 Under FOB:
- we clear the goods for export from India and deliver them on board the vessel you nominate at the named port, within the agreed shipment period;
- risk of loss or damage passes to you when the goods are on board that vessel;
- you book and pay for the sea freight and arrange your own cargo insurance from that point;
- you handle import clearance, duties and taxes in your country.
4.3 Containers are often handed to the carrier at a container depot or terminal before they are loaded. The goods stay at our risk until they are on board at the named port, as FOB requires.
4.4 If you ask us to book the vessel for you, we do so as your agent, at your cost and risk. Freight and any related charges are added to the Proforma Invoice or invoiced separately.
4.5 Our typical lead time is 2 to 3 weeks from Order confirmation to loading at the Indian port. "Order confirmation" means your acceptance under clause 2.3 and receipt of any advance payment it requires. This is an estimate, not a fixed date. We tell you promptly about any delay. A shipment date is binding only if the Signed Contract or Proforma Invoice says it is.
4.6 If you do not nominate a vessel in time, or the vessel you nominate fails to arrive or take the goods, you bear the extra costs, including storage and port charges, as Incoterms 2020 FOB provides.
4.7 We provide a commercial invoice and a packing list, and on request a certificate of origin. The carrier you appoint issues the bill of lading. Other documents (for example test reports or inspection certificates) are supplied only if the Proforma Invoice lists them.
4.8 You are responsible for import licences, permits, product registrations, conformity marking (such as CE marking in the EU, where the law places that duty on the importer) and compliance with the rules of your country, unless the Signed Contract says we will handle a specific item.
5. Title
Ownership of the goods passes to you when we receive full payment for them, or when we release the shipping documents to you, whichever is earlier.
6. Payment
6.1 Payment terms (for example advance, letter of credit or documents against payment) are set out in each Proforma Invoice.
6.2 Pay only into the bank account named on our Proforma Invoice. We will never change our bank details by email alone. If you receive a message asking you to pay a different account, do not pay. Check with us first through a contact you already know is ours, not one given in that message.
6.3 Bank charges outside India are for your account unless agreed otherwise.
7. Samples
7.1 We send a Quote first. Samples are agreed with you after you tell us the Quote works for you. We confirm the sample set and the courier in writing before anything is sent.
7.2 A sample shows the type of stone, its general colour and finish. It is not a guarantee that every piece will match it (see clause 8).
8. Natural stone, tolerances and technical values
8.1 Natural stone varies in colour, shade, veining, texture, markings and small natural features from block to block, between lots quarried at different times, and within a single slab. Samples, photos, catalogue images and illustrations (including those on our website and in our catalogue) show the type and general character of the stone, not the exact pieces you will receive. Screens and printing also show colour differently. Variation within the normal range for that stone is not a defect.
8.1A This applies whether or not you received a physical sample before ordering. If you order from a description, a photo, a catalogue image or a sample you have not seen in person, you buy the stone by its type and grade, within its normal natural variation.
8.1B If you need a close match in colour or pattern (for example to extend an existing floor, to match an earlier order, or to match a particular sample), tell us in writing before we send the Quote. The Quote then says whether we can select the stone from one block or lot, and how close a match we can offer. Without that written confirmation in the Quote, a match to an earlier order, a sample or a photo is not guaranteed.
8.1C Natural variation within the normal range is not a reason to reject the goods, withhold or delay payment, or claim a price reduction. Clause 10 still applies if the stone is a different type, grade, finish or size from the one ordered, or is damaged or defective.
8.2 Before packing, we send you photos of the actual slabs or a representative lot. If you approve them, or do not object in writing within 3 working days of receiving them, the goods are accepted for colour and appearance. If you object in time, we will discuss reselection with you where the lot allows it.
8.2A Open several crates and lay the stone out dry, mixing pieces from different crates, before you or your customer cut, fix or install it. We accept no claim about colour, shade or appearance for stone that has been cut further, fixed or installed.
8.3 Unless the Proforma Invoice says otherwise, dimensions, thickness and flatness tolerances follow the European or international standard for the product type (for example EN 1341 for paving slabs, EN 12058 for floor and stair slabs, EN 1469 for cladding, EN 14411 for ceramic tiles) or the tolerance stated in the Quote.
8.4 We give technical values (water absorption, density, strength, slip resistance) only from laboratory test reports, which we share on request. They describe samples of the stone and are not a guarantee for each piece. Before you specify a stone for a particular use, check it against the rules and standards that apply to that use in your country.
9. Packing and inspection
9.1 We pack in wooden crates or on pallets suitable for sea freight. If your country requires ISPM 15 treated timber, tell us and we confirm it in the Quote.
9.2 You may appoint an inspection agency to inspect the goods at our yard before dispatch, at your cost. Please give us at least 7 days' notice. Goods passed by your inspector are accepted as to the matters inspected.
10. Claims
10.1 Damage that happens after the goods are on board is at your risk under FOB. Claim it from the carrier or your cargo insurer. We will give you the documents and information we hold to help.
10.2 For a shortage, wrong goods, or a defect that existed when risk passed:
- note visible damage or shortage on the delivery receipt, and photograph it before unloading further;
- tell us in writing, with photos and the container and crate numbers, within 15 days of the goods reaching the destination port for shortages and visible defects, and within 30 days of that date for defects that could not reasonably be seen on arrival;
- keep the goods concerned unused and available for us or our nominee to inspect.
10.3 If you do not tell us within these periods, the goods are treated as accepted for the purposes of section 42 of India's Sale of Goods Act, 1930. Prompt notice matters because natural stone can be damaged, mixed or cut after arrival, and late claims cannot be checked fairly.
10.4 If a claim is valid, we will, at our choice, replace or make good the goods concerned, or credit or refund the price paid for them. That is our full liability for the claim, subject to clause 11.
11. Limits on liability
11.1 Neither of us is liable to the other for loss of profit, revenue, business or contracts, delay penalties under contracts with third parties, or any indirect or consequential loss.
11.2 Our total liability under or in connection with an Order is limited to the price paid for the goods concerned.
11.3 Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law. Clause 11.1 does not limit your duty to pay the price.
12. What we do not sell
12.1 We do not sell carved, sculpted or architectural pieces, antiquities (objects of at least 100 years' age as defined by India's Antiquities and Art Treasures Act, 1972), salvaged temple or heritage stone, or any item India restricts or prohibits for export.
12.2 When we source goods other than stone for you, we source only goods that are freely exportable from India. You confirm they are lawful to import and sell in your country.
13. Lawful trade and conduct
13.1 You confirm that you, your owners and your customers for these goods are not subject to United Nations sanctions or Indian government restrictions, and that the goods will not be re-exported in breach of sanctions or export rules that apply to you.
13.2 We may refuse, suspend or cancel an Order without liability if dealing with it would breach a law that applies to us, or if a bank, carrier or insurer refuses to handle it because of sanctions. Any advance paid for goods not shipped is refunded, less costs already incurred.
13.3 Both of us will comply with the anti-bribery and anti-corruption laws that apply to us, including India's Prevention of Corruption Act, 1988.
13.4 Our policy against child labour, forced labour and bonded labour, and the checks we run, are described on our Responsible sourcing page.
13.5 Cutting, grinding or polishing natural stone releases respirable crystalline silica dust, which can harm the lungs. You must pass this warning to anyone who processes the goods and give any product warnings your local law requires (for example California Proposition 65).
14. Events beyond our control
14.1 Neither of us is liable for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, strikes other than by our own workers, port or quarry closures, changes in law, government action, sanctions, and shortages of shipping space or containers. This does not excuse a failure to pay money that is due.
14.2 The affected side tells the other promptly and does what it reasonably can to limit the effect.
14.3 If the delay lasts more than 60 days, either of us can cancel the unshipped part of the Order by written notice without liability. Any advance paid for unshipped goods is refunded, less costs already incurred with your approval.
15. Law and disputes
15.1 These terms and every Order, and any dispute about them, are governed by the laws of India. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
15.2 We will first try to settle any dispute by discussion. If it is not settled within 30 days of a written notice of dispute, it will be finally resolved by arbitration under India's Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by agreement or, failing agreement, under that Act. The seat of arbitration is Jaipur, Rajasthan, India, and the language is English. The award is final and binding.
15.3 Either of us may ask the competent courts at Jaipur, or any court where the other has assets or where the goods are, for urgent interim relief. Subject to the arbitration agreement, the courts at Jaipur have exclusive jurisdiction.
16. General
16.1 If any part of these terms is found unenforceable, the rest still applies.
16.2 Notices must be in writing to the addresses in the Proforma Invoice or Signed Contract. Email counts as writing.
16.3 You may not transfer an Order to anyone else without our written agreement.
16.4 If either of us does not enforce a right straight away, that is not a waiver of it.
16.5 These terms are written in English. Any translation is for convenience only.
16.6 We may update these terms. The version on this page when you accept a Proforma Invoice applies to that Order.
